1. Introduction and Application
1.1. These Terms and Conditions (“Terms”) govern the provision of services by On The Reg Team Pty Ltd (“OTRT”, “we”, “us”, or “our”) to you (“Client” or “you”).
1.2. By engaging OTRT to provide services, accepting a quote, or making a payment, you agree to be bound by these Terms.
1.3. These Terms should be read in conjunction with our Privacy Policy, Cancellation Policy, and Refund and Dispute Policy.
2. Services
2.1. OTRT will provide the services described in the relevant engagement letter, proposal, or invoice (“Services”) with due care and skill.
2.2. We aim to deliver Services on the dates and times agreed; however, dates are subject to availability and may change in accordance with our Cancellation and Refund policies.
3. Fees and Payment
3.1. Fees: The fees for the Services will be specified in our quote or invoice. All amounts are in Australian Dollars (AUD) and are inclusive of GST unless stated otherwise.
3.2. Payment Terms: Unless otherwise agreed in writing, full payment is required to confirm the booking of Services.
3.3. Travel Expenses: Where Services require travel (e.g., for on-site training or consulting), travel expenses including flights and accommodation may be charged. In line with our Airline Policy, we utilise QANTAS and include carbon offsets for all flights. These costs will be communicated to you in advance.
4. Cancellations and Rescheduling
4.1. We understand circumstances change. Cancellations are managed strictly in accordance with our Cancellation Policy.
4.2. Cancellation Fees:
- More than two months before the scheduled service: No fee.
- Between one and two months before the scheduled service: 25% fee of the total service cost.
- Less than one month before the scheduled service: 50% fee of the total service cost.
4.3. Third-Party Costs: Irrespective of the timeframe, if OTRT has incurred non-refundable expenses (such as flight or accommodation booking fees) on your behalf, these amounts will be deducted from any refund.
4.4. Exceptions: OTRT reserves the right to review cancellation fees in exceptional circumstances at our sole discretion.
5. Refunds
5.1. Refunds are governed by our Refund and Dispute Policy.
5.2. Eligibility: You may be eligible for a refund if:
- Services were not delivered as described.
- Technical issues on our end prevented service delivery (and rescheduling was not possible).
5.3. Process: Requests for refunds must be made via email within 14 days of the scheduled service delivery date.
5.4. Exclusions: Refunds are generally not available for “change of mind” within five days of the scheduled service or for services that have already been delivered.
6. Intellectual Property
6.1. OTRT Materials: OTRT retains ownership of all intellectual property rights in any materials, methodologies, workshops, training content, and resources provided during the Services (“OTRT Materials”).
6.2. Client Licence: Upon payment of fees, OTRT grants the Client a non-exclusive, non-transferable licence to use OTRT Materials for internal business purposes only. You must not resell, reproduce, or distribute OTRT Materials to third parties without our prior written consent.
7. Confidentiality and Privacy
7.1. Confidentiality: Both parties agree to keep confidential any non-public information obtained during the engagement.
7.2. Privacy: OTRT is committed to protecting your personal information in accordance with the Privacy Act 1988 (Cth).
- Data Collection: We collect minimal information (contact details, website addresses).
- Images: By engaging us, you acknowledge that images provided to us or taken during workshops may be used for marketing purposes, as outlined in our Privacy Policy.
- Retention: We retain client files and communications for 5 years after project completion or the last interaction, in accordance with our Data Retention Policy.
8. Dispute Resolution
8.1. If a dispute arises, the parties must attempt to resolve it in accordance with our Refund and Dispute Policy.
8.2. Procedure:
- You must notify us of the dispute via email.
- We will acknowledge receipt within 2 business days.
- We aim to propose a resolution within 10 business days.
8.3. If the dispute cannot be resolved internally, the parties agree to participate in mediation in Victoria before commencing legal proceedings.
9. Liability
9.1. To the maximum extent permitted by law (including the Australian Consumer Law), OTRT’s liability for any loss or damage arising out of or in connection with the Services is limited to the resupply of the Services or the refund of the fees paid for the specific Service giving rise to the claim.
9.2. OTRT will not be liable for any indirect, special, or consequential loss, or loss of profits/revenue.
10. General
10.1. Jurisdiction: These Terms are governed by the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria.
10.2. Force Majeure: OTRT is not liable for any delay or failure to perform obligations if such delay is caused by circumstances beyond our reasonable control (e.g., natural disasters, pandemics, airline strikes).
10.3. Amendments: OTRT reserves the right to update these Terms. The Terms applicable to your engagement are those in effect at the time of booking.
